Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and MarqOps Inc. ("MarqOps," "we," "us," or "our") governing your access to and use of the MarqOps platform, website, APIs, and related services (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

MarqOps is an AI-powered marketing operations platform that provides:

  • Creative Operations: AI-powered generation of marketing images, videos, and visual content
  • SEO Operations: AI blog content generation, keyword optimization, and WordPress publishing
  • Analytics Operations: Unified dashboards for Google Search Console, Google Analytics 4, Google Ads, and domain SEO metrics
  • Ad Operations: Google Ads campaign monitoring and performance analysis
  • AI Analytics Assistant: Natural-language chatbot for querying your brand's marketing data

3. Account Registration

3.1 Eligibility

You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.2 Account Security

Authentication is provided through Google OAuth. You are responsible for maintaining the security of your Google account and for all activities that occur under your MarqOps account. You must notify us immediately of any unauthorized use at support@marqops.com.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4. Subscription Plans and Credits

4.1 Plans

The Service offers the following subscription tiers:

  • Starter (Free): 100 AI credits per month, 2 brand workspaces
  • Professional ($39/month): 2,500 AI credits per month, 10 brand workspaces, 5 team members, video generation, 4K output
  • Business ($99/month): 10,000 AI credits per month, unlimited brand workspaces and team members, advanced integrations, priority support

Annual billing is available at a 20% discount.

4.2 AI Credits

AI credits are consumed when you use AI-powered features including content generation, image creation, video production, and AI chat interactions. Credit costs vary by feature and AI model used. Credits reset monthly based on your billing cycle and do not roll over between billing periods. Unused credits expire at the end of each billing period.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method on file for the applicable fees. All fees are quoted in US Dollars and are non-refundable except as required by law or as described in Section 4.5.

4.4 Price Changes

We may change subscription pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle after the notice period.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through the billing settings in your dashboard. Upon cancellation, your subscription remains active until the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe you are entitled to a refund due to a billing error or service issue, contact support@marqops.com within 14 days.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful marketing, branding, content creation, and analytics purposes in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

  • Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Generate content that infringes on any third party's intellectual property, privacy, or other rights
  • Use the Service to create deceptive, misleading, or fraudulent marketing materials
  • Generate deepfakes, non-consensual imagery, or content depicting real individuals without authorization
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
  • Use automated means (bots, scrapers) to access the Service beyond the intended API usage
  • Circumvent credit limits, usage restrictions, or security measures
  • Share your account credentials or allow unauthorized third parties to access your account
  • Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users
  • Resell, redistribute, or sublicense access to the Service without written authorization

5.3 Content Standards

AI-generated content must comply with applicable advertising laws and regulations, including FTC guidelines on endorsements and testimonials, truth-in-advertising standards, and industry-specific regulations. You are solely responsible for reviewing and ensuring the accuracy and compliance of all AI-generated content before publication.

6. Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to the Service, including brand assets, guidelines, images, and text. By uploading content, you grant MarqOps a non-exclusive, worldwide, royalty-free license to process, store, and display your content solely for the purpose of providing the Service to you.

6.2 AI-Generated Content

Subject to these Terms, you own the output generated by the Service using your inputs and prompts. You are responsible for ensuring AI-generated content does not infringe on third-party rights. MarqOps makes no warranties regarding the originality or non-infringement of AI-generated content.

6.3 MarqOps Platform

The Service, including its design, features, code, documentation, and branding, is owned by MarqOps and protected by intellectual property laws. These Terms do not grant you any rights to MarqOps's trademarks, logos, or other brand features.

7. Third-Party Integrations

7.1 Google Services

The Service integrates with Google Search Console, Google Analytics 4, and Google Ads through OAuth 2.0. By connecting these services, you authorize MarqOps to access your data in accordance with the permissions you grant. You may revoke access at any time through your dashboard or through your Google account settings. Your use of Google services is additionally subject to Google's Terms of Service.

7.2 WordPress

If you connect a WordPress site, you authorize MarqOps to publish content to your site through the WordPress REST API using the credentials you provide. You are responsible for the content published to your site and for maintaining your WordPress credentials.

7.3 AI Model Providers

The Service uses third-party AI models from Google (Gemini), Anthropic (Claude), and other providers through OpenRouter. Your prompts and content are transmitted to these providers for processing. These providers have their own terms of service and privacy policies governing their processing of your data.

7.4 Stripe

Payment processing is provided by Stripe and is subject to Stripe's Terms of Service.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Key points:

  • We do not sell your personal data to third parties
  • We do not use your content or analytics data to train AI models
  • Your data is protected with row-level security and encryption
  • You can delete your account and all associated data at any time

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. For material changes that negatively impact your use, we will provide reasonable advance notice.

9.3 Third-Party Dependencies

The Service depends on third-party APIs (Google, Stripe, AI model providers). Changes to or outages of these services may affect the availability or functionality of certain features. MarqOps is not liable for disruptions caused by third-party service providers.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Specifically, MarqOps does not warrant that:

  • AI-generated content will be accurate, original, or free of errors
  • Analytics data will be real-time or perfectly synchronized with source platforms
  • The Service will meet your specific marketing objectives or produce particular business results
  • AI recommendations or insights will be suitable for your business decisions without independent verification

You acknowledge that AI-generated content should be reviewed for accuracy, legal compliance, and brand alignment before publication or use in commercial contexts.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARQOPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MARQOPS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless MarqOps and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Content you create, generate, publish, or distribute using the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations

13. Termination

We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

You may terminate your account at any time by contacting support@marqops.com or through your account settings. Upon account deletion, all your data will be permanently removed in accordance with our Privacy Policy.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@marqops.com. We will attempt to resolve the dispute within 30 days.

14.3 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's award shall be final and binding.

14.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MarqOps regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may provide notices through the Service, via email, or by posting on our website.

16. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page. For material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
